Terms of Service
These Terms of Service ("Terms") govern your use of Relay, a software-as-a-service customer messaging platform provided by DIGI CREATIVHEADS LLP (LLPIN ACL-0995), trading as CreativHeads Agency ("we", "us"). By creating an account or using Relay, you agree to these Terms. If you accept on behalf of a business, you confirm you are authorised to bind it.
1. The service
Relay lets businesses connect WhatsApp Business, Instagram, Facebook Pages/Messenger, email and website chat into a shared team inbox, with an optional AI assistant, templates, broadcasts, appointment booking, in-chat forms and analytics. Features may change over time.
2. Accounts
Provide accurate information, keep credentials confidential, and you are responsible for all activity under your account, including your team members. Tell us promptly at hello@creativheads.com about any unauthorised use.
3. Your responsibilities
- Comply with applicable law and with the WhatsApp Business Policy, WhatsApp Commerce Policy, Meta Platform Terms, Meta Community Standards and the policies of any connected channel.
- Obtain valid opt-in consent before messaging people on WhatsApp or other channels, honour opt-outs, and use approved templates where required.
- Do not send spam or unlawful, deceptive, harassing or infringing content.
- Have a lawful basis and give required notices to your customers for personal data you process through Relay.
- Do not misuse, reverse engineer, overload or try to gain unauthorised access to Relay.
4. Fees, wallet and payment
- Subscription fees are as shown at sign-up or in your order.
- AI usage is charged from a prepaid wallet and deducted as consumed. Keep a sufficient balance for AI features to work. Wallet balances are non-refundable unless required by law.
- Meta/WhatsApp messaging charges are billed by Meta directly to your Meta business account and are not part of our fees.
- Fees exclude applicable taxes, including GST. Non-payment may lead to suspension.
5. AI features
AI replies, drafts, summaries, transcriptions and translations are generated automatically by third-party AI models and may be inaccurate or incomplete. You are responsible for configuring the assistant and for all messages sent from your accounts. Do not rely on AI output for legal, medical, financial or other professional advice. We do not use your message content to train AI models.
6. Your data
You own your content and data. For data you process through Relay you are the data fiduciary/controller and we process it as your processor, as described in our Privacy Policy. Deletion steps are in our Data Deletion Instructions.
7. Intellectual property
We own all rights in Relay and its software, design and documentation. We grant you a limited, non-exclusive, non-transferable right to use Relay during your subscription.
8. Third-party platforms
Relay depends on third-party platforms such as Meta, email providers and AI providers. We are not responsible for their availability, changes, policies or decisions, including restrictions they place on your accounts.
9. Suspension and termination
You may stop using Relay or close your account at any time. We may suspend or terminate access for breach of these Terms or platform policies, non-payment, or to protect Relay, other users or comply with law. After termination your data is deleted as described in our Privacy Policy.
10. Disclaimer
Relay is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties and do not guarantee uninterrupted or error-free operation or specific business results.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total liability is limited to the fees you paid us for Relay in the 3 months before the event giving rise to the claim.
12. Indemnity
You will indemnify us, our partners and staff against claims, losses and expenses (including reasonable legal fees) arising from your content, your messages, your breach of these Terms, or your violation of law or platform policies.
13. Governing law
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction.
14. Changes
We may update these Terms and will post the new version here with a new effective date, notifying customers of material changes by email or in Relay. Continued use means acceptance.
